In-house legal Structured Notes (ED or VP)
Robert Walters have partnered with a prestigious global financial institution who is seeking to hire a Structured Notes Lawyer to join its highly respected Global Markets legal team in London. Key responsibilities:
- Provide comprehensive transactional advice to the structured notes business with a primary focus on equities, ensuring all aspects of structuring, negotiation, documentation, and execution are expertly managed.
- Draft and review Non-Exempt and Exempt product documentation including Final Terms and Issuer Summaries in accordance with Prospectus Regulation requirements.
- Advise on retail structured securities offerings across various jurisdictions such as Switzerland, France, Italy, Nordics, and other core European markets, ensuring full compliance with local regulations and best market practices.
- Collaborate closely with third-party distributors and manage associated documentation for cross-border distribution by private banks, addressing requirements under MiFID II, PRIIPS, Retail Investment Strategy, and related frameworks.
- Analyse third-party distribution activities into multiple geographies, identifying risks related to local law, regulations, listing obligations, and filing requirements.
- Apply knowledge of ISDA equity and rates definitions to support both on-balance sheet and off-balance sheet Notes programmes as required.
- Work alongside senior legal management, compliance teams, and business leaders to ensure efficient implementation of new products or initiatives in line with internal governance processes.
- Interpret regulatory changes impacting the structured notes business and educate stakeholders on their application within the organisation.
- Contribute proactively to process improvements or enhancements in methods of working within the legal department.
What you need to be successful?
- Background gained from either a reputable law firm transactional department or an established in-house legal team within financial services. Preferred E&W qualified lawyer with a minimum of 5 years PQE.
- Demonstrated expertise in Prospectus Regulation with proven ability to construct both Non-Exempt and Exempt product documentation including Final Terms and Issuer Summaries for equity-linked products.
- Extensive experience advising on retail structured securities offerings across multiple European jurisdictions such as Switzerland, France, Italy, Nordics; adept at ensuring compliance with local regulations and best market practice.
- Proven track record working with third-party distributors on cross-border distribution by private banks; deep understanding of MiFID II, PRIIPS, Retail Investment Strategy requirements.
- Strong analytical skills for assessing third-party distribution into various geographies while managing risks related to local law, regulatory obligations, listing rules, and filing requirements.
- Familiarity with ISDA equity and rates definitions as well as their application within both on-balance sheet and off-balance sheet Notes programmes is advantageous.
- Comprehensive knowledge of product governance requirements under MiFID II; experience collaborating closely with senior legal management, compliance professionals, and business leaders for effective implementation of new products or initiatives.
