Legal Counsel VP

Summary

To provide legal services to the Corporate, Governance, M&A, Regulatory and Legal Watch team of

our client, a well established Investment Bank.

Key Responsibilities

Provide English law legal advice and assistance (together with documentation drafting and/or review and transaction assistance as appropriate) relevant to the operations and business units in respect of:

Commercial/Digital/Procurement (including eBusiness/IT/IP)

· Supporting the digital infrastructure and development of the bank, including services and projects involving cloud services, artificial intelligence and digital ledger technology, the banks proprietary or third-party trading, commercial banking or information sharing platforms and related internal governance processes

· Supporting outsourcing and commercial or professional services contracts and related internal

governance processes

· Intellectual property and/or coordinating provision of external legal advice for the same

· Operational and commercial banking matters (including nostro accounts and CLS accounts)

· Property and/or corporate services matters (and/or coordinating provision of external legal advice for the same)

· Intra-group services received and provided by the bank

· Dormant assets and liabilities

· Supporting the administration and reporting of the teams activities, including contribution to the

preparation of monthly KPI comments for the Corporate LGL team and coordinating the monthly update of the Procurement activity tracker and related minutes.

Corporate Governance and M&A Advisory

• · M&A advisory mandates for the bank (in support of the Global Investment Banking department in London and Paris)
• · Corporate advisory activities in respect of equity or asset disposals/acquisitions by the bank or in respect of equity investments held by the bank
• · Company secretarial assistance (supported by external service provider) for the bank UK subsidiaries
• · Delegations of authority in London and related policies and procedures.

Projects

• · Digital and commercial transversal projects affecting the bank and related policies and procedures
• · LGL projects (including legal technology & innovation projects) and LGL corporate or transversal policies and procedures
• · Information governance and data preservation.
